Article 1 – Purpose

These General Terms and Conditions (GTC) set forth the terms under which the Agency provides the Client with audiovisual and motion design services, including but not limited to: script writing, storyboard creation, animation and video production, voice-over recording and direction (if applicable), and multi-format and multi-language variations (if ordered).

The specific details (pricing, options, deadlines, formats, etc.) are defined in each quote, which supplements and clarifies these GTC.

Article 2 – Contractual Documents

The following documents are contractual, in descending order of priority: the quote accepted by the Client (via signature or electronic approval), these GTC, and any specifications or brief provided by the Client.

In case of contradiction between these documents, the quote shall prevail.

Article 3 – Production Process and Approvals

Each production stage must be approved in writing before moving to the next. Once approved, a stage becomes permanently locked. Any subsequent modification will be billed.

Step 1: Script

Script written on a shared Google Docs document. The Client has unlimited revisions until approval. Written approval is mandatory. Any modification after approval requires an additional quote.

Voice-over (if ordered)

Voice selection occurs after script approval. The Client is entitled to one free revision of the recording (tone / rhythm / intention). Any additional recording is billed according to the voice actor's rate.

Step 2: Storyboard

The storyboard includes creation of every frame, scene composition, and full visual sequencing. The Client has unlimited revisions until approval. Any request modifying the approved script (structure, duration, narrative, etc.) will require an additional quote.

Step 3: Animation / Motion Design

After storyboard approval, the Agency produces Version 1 (V1) of the animation. The Client has a 7-business-day period to request unlimited revisions, provided that the requests remain strictly within the scope of the approved storyboard and no revision changes elements previously validated (structure, art direction, key transitions, narrative content, etc.).

Any request outside the scope will be billed additionally. After this period, all modifications are billed. Final approval definitively closes the Animation stage.

During the 7 business days, motion designers will do what is necessary to provide updated versions promptly, allowing several iterations if needed.

Final Deliverables

Unless otherwise specified in the quote, delivery includes the video in 1080p, .mp4 (H.264) format, and a version with and without subtitles (if ordered). Source files (AE, PSD, AI, etc.) are provided only if included in the quote.

Article 4 – Production Deadlines

V1 is delivered in 21 business days on average, with a tolerance up to 30 days. Deadlines are suspended if the Client delays feedback or approvals. Urgent or out-of-scope requests require an additional quote.

Article 5 – Client Obligations

The Client agrees to provide all information necessary for the performance of the services, to approve each step within a reasonable timeframe, and to respect the boundaries defined by the approved script and storyboard. Any delay attributable to the Client will proportionally extend the production deadlines.

Article 6 – Pricing and Payment

Two payment options are available, as chosen in the quote: 100% upfront, or 50% upfront / 50% before final delivery. No final deliverable is released before full payment has been received.

Article 7 – Additional Services

Additional fees apply for: modifications after approval of a stage, out-of-storyboard requests, modifications after the 7-business-day revision period, and change of voice actor beyond the free included revision.

Article 8 – Intellectual Property

Rights are transferred only after full payment of the service. Transferred rights include reproduction, representation, adaptation, and distribution on all media, worldwide, for the maximum legal duration. Source files are excluded from the transfer of rights unless otherwise specified in the quote.

Article 9 – References and Portfolio

Unless expressly stated otherwise in writing by the Client, the Agency reserves the right to use the work produced in its portfolio and for communication purposes.

Article 10 – Liability

The Agency's liability is limited to the total amount paid by the Client for the service in question. The Agency shall not be liable for indirect losses, Client-related delays, improper use of the video, or actions of subcontractors or voice actors.

Article 11 – Termination

In case of a material breach not resolved within 15 days following formal notice, the contract may be terminated by the injured party. Amounts already paid remain due to the Agency.

Article 12 – Subcontracting

The Agency reserves the right to subcontract all or part of the services to specialized professionals (motion designers, illustrators, voice actors, etc.), under its own responsibility.

Article 13 – Non-Solicitation Clause

The Client agrees not to recruit or solicit any subcontractors of Keyframe Agency for a period of 2 years following the delivery of the Services.

Article 14 – Confidentiality

Information exchanged between the Parties shall be considered confidential for a period of 2 years from the date of disclosure.

Article 15 – Personal Data

The Client's personal data is collected and processed solely for the performance of the contract, in compliance with the GDPR. It shall not be sold or transmitted to third parties without consent.

Article 16 – Mediation and Jurisdiction

In the event of a dispute, the Parties shall first attempt to reach an amicable resolution. Failing an amicable agreement, the courts of Paris shall have exclusive jurisdiction.

GTC Keyframe Agency – Version in force as of the date the quote is accepted by the Client.
